Chairman of the Board & Chief Executive Officer, Tencent Holdings Limited (HKEX: 700)
Ma Huateng, known as Pony Ma, co-founded Tencent in 1998 and has led it ever since. Today he is its chairman, its chief executive and the only executive director on its board. He also chairs the committee that nominates its directors.
For South African readers, Tencent is not a distant name. Naspers bought into the company in 2001, and through Prosus it remains Tencent’s largest shareholder, with two non-executive seats on the board Ma chairs.

The career
Ma studied computing at Shenzhen University, graduating in 1993. His first job was at China Motion Telecom Development, a telecommunications services and products provider, where he led research and development for an Internet paging system.
In 1998 he co-founded Tencent. By Tencent’s account he is one of the group’s core founders and holds overall responsibility for its strategic planning, positioning and management. His career has been spent in one industry and, for 28 years, at one company. Tencent has grown into one of China’s largest technology companies.
He was a deputy to the 12th and 13th National People’s Congress. His recorded recognition includes TIME’s 100 Most Influential People (2014), Forbes’ World’s Most Powerful People (2015), 45th place on Harvard Business Review’s list of the 100 Best-Performing CEOs in the World (2015), and a place among the “100 Outstanding Private Entrepreneurs in 40 Years of Reform and Opening Up” (2018).

Five of the eight are independent non-executive directors, a majority. Bekker, who chairs Naspers, and Searle are the two non-executive directors associated with Prosus and Naspers. Ma is the only executive on the board. Tencent’s other senior executives, including its President, Martin Lau, sit below it rather than on it.
The governance read
One person, two roles. Ma is both chairman and chief executive. Hong Kong’s Corporate Governance Code says the two roles should be separate and not held by the same person, and a company that combines them must explain why in its corporate governance report. At Tencent, the person who leads management also leads the board that oversees management.
He chairs the Nomination Committee. The committee recommends who sits on Tencent’s board. Hong Kong’s code allows the board chairman to chair it, and four of its six members are independent non-executive directors. Even so, the executive who chairs the board also chairs the committee that shapes it.
His commitments sit inside one group. Beyond Tencent, his recorded directorships are Advance Data Services Limited, which holds an interest in Tencent shares disclosable under Part XV of Hong Kong’s Securities and Futures Ordinance, and certain Tencent subsidiaries. For a chief executive running a group of Tencent’s size, that concentration is a strength on bandwidth: his time is not split across unrelated boards. It also means his entire governance record is one company’s.
Founder, not controlling shareholder. Tencent’s Annual Report 2025 records Ma’s interest, held through Advance Data Services Limited, at 8.82% of the company at 31 December 2025. Prosus reported that its holding fell from 23.5% in March 2025 to 22.8% at the end of September 2025. Ma leads the company, while the largest single holding sits with a group listed in Amsterdam and, through Naspers, in Johannesburg.

The two lowest pillars are Auditor Independence at 2.0 and Director Capacity at 2.81. Director Independence is recorded at 5.0 under the platform’s default treatment: where the independence questions on a director’s record have not been populated, InsidEntity assumes the answers are no. What to watch
- Succession. Ma has led Tencent since its founding, and he is the only executive on its board. Tencent has not publicly named a successor. The more one founder holds, the more one appointment will eventually change.
- The combined role. Whether Tencent continues to combine chairman and chief executive, and how it explains that choice in its annual corporate governance report.
- The shareholder structure. Prosus has been selling Tencent shares steadily and remains its largest shareholder. Changes in its holding bear directly on shareholder concentration and influence at Tencent.
That is the part worth watching.
