GOVERNANCE WATCH

People search her name because they see it under signature blocks, in AGM notices, and in the evidence transcripts of every major commission of inquiry South Africa has held in the last decade. We look at the seats. According to her InsidEntity profile, Mahlape Sello SC is Senior Counsel at the Johannesburg Bar and a non-executive director whose portfolio spans the bar, international arbitration, statutory law reform, public commissions of inquiry, and the boards of two JSE-listed companies serving millions of South African consumers and patients. She holds an LLB from the University of the Witwatersrand and was admitted to the bar in 2003.

The seats she holds

Sello has been a non-executive director at Life Healthcare since 3 July 2017, currently serving as its Lead Independent Non-Executive Director. She joined the Tiger Brands board in October 2019 and sits on three of its committees: Audit and Risk, Social, Ethics and Sustainability, and Nomination and Governance. Both companies operate where essential services meet consumer protection, and both boards trust her with committee work that would ordinarily be split across two directors.

The record before

The earlier chapters are on the profile too. Sello joined the Murray & Roberts board in February 2009 as an independent non-executive director, became independent non-executive chair in March 2013, and retired at the 2017 AGM. Dr Suresh Kana, who had joined the M&R board in July 2015, succeeded her in the chair, a role Kana held until his own resignation on 30 November 2024. Murray & Roberts entered business rescue at its main operating subsidiary that same month and was removed from the JSE on 19 January 2026 following a final winding-up order granted by the Gauteng High Court on 27 October 2025. The record is preserved on the platform as history rather than a live rating.

Beyond the boardroom

As an advocate, Sello has also served as an evidence leader on the Judicial Commission of Inquiry into State Capture, the Zondo Commission, from around 2018 to 2021, and, since 2025, on the Madlanga Commission investigating criminality and political interference in the criminal justice system. Her work at both commissions has drawn extensive public commentary in South African media. This is unusual company for a listed-company director to keep; it is also the kind of exposure to sustained scrutiny under oath, on the record, in front of a national audience that no ordinary directorship provides.

The governance lens

Two facts on the record do most of the talking. The first is capacity. Sello holds two current JSE-listed non-executive seats, membership of one international and two Southern African arbitration bodies, a statutory law-reform commission, deputy chairmanship of a public-office remuneration commission, and an active practice as Senior Counsel: an unusually broad portfolio, sitting within the four-mandate line for listed-company directorships at which the Company Risk Rating methodology treats a director as potentially overextended. The seats do not overboard the count. Whether they overboard the calendar is a question the record cannot answer alone.

The second is tenure. Her Life Healthcare seat, from July 2017, will reach the ten-year mark at which the methodology stops treating any director as independent in July 2027. Her Tiger Brands seat, from October 2019, sits comfortably inside it and reaches the same mark in October 2029. Neither triggers a tenure flag today, but the Lead Independent Director role at Life Healthcare, the seat closest to the line, is the one a nominations committee is likely to be reading now, in advance rather than at expiry.

Independence, read the InsidEntity way

The Director Independence pillar leans on direct disclosures from directors themselves through the platform’s director risk framework, and where declarations have not been populated the platform presents the default and says so on the profile. Sello’s profile is currently marked Director Verified: No, and the invitation to verify stands. Two things worth noting alongside that default: Life Healthcare’s own board has designated her its Lead Independent Director, a formal external assessment of her independence that the platform’s default does not yet reflect, and her career as Senior Counsel, evidence leader, and Law Reform Commissioner is one built around independence of judgement as its central professional standard. Deep legal experience does not exempt a director from verification; it does make the verification easier for a director to complete, and more consequential when they do.

If you sit on a board, this record exists for you too

InsidEntity maintains director profiles across 145 stock exchanges, built from filings and public disclosures, whether or not the director has ever seen them. Verification is the part only you can add: completing the independence disclosure through the platform’s director risk framework moves your profile from the platform’s defaults to your own account of your independence, visible to every investor who looks you up before they form a view without you. The invitation stands for every director on the platform.
